In a joint venture, merger or acquisition, the parties decide on how they wish to integrate. The acquirer might decide to take on the debt of the acquired. In this case, it is a joint venture with SNIT still retaining a 25% share in the merger. As part of the agreement, SNIT decides to retain its liabilities; which makes a lot of sense. Why should First Rand acquire the debt of SNIT when SNIT is still operational and a going concern?
Does it mean that all debtors, including Ibrahim Mahama, have defaulted or have had their debt obligation wiped off? NO. Any suggestion to that effect is absolute non-sense. Ibrahim Mahama will continue to honour his debt obligations to SNIT.
Now, that has nothing to do with President Mahama. Indeed, so many borrowers, including NPP loyalists, have defaulted in paying back money they borrowed from SNIT. SNIT has a lot of bad debts but Ibrahim Mahama has a very good credit rating; always borrowing and paying back on time and not defaulting. He is every lender’s dream.
What has been overlooked is that, SNIT has to leverage on its assets in order to make money on collections taken from workers as pensions. It will be silly for SNIT to just collect the money and keep it. It lends the money in order to make profit and be able to pay workers when they retire. So SNIT must lend to businesses.
Lending is a risky business as some borrowers may default and some loans may even be written off. This is because some businesses and ventures will inevitably fail. No risk no reward.
Ibrahim Mahama is every lender's dream. His business empire is booming and he is able to service his debts well. SNIT makes money from good borrowers and Ibrahim Mahama is one of them.
Unlike Ghana Telecom whose debts were deducted from the money it received from Vodafone as a result of the sale, SNIT got the whole amount for the 75% acquisition but retained its loan obligations. One way would have been for First Rand to deduct the total liabilities that SNIT is carrying in the final amounts it pays to SNIT and then inherit all the loans SNIT has in Merchant Bank.
That would have been unwise because Rand Bank has less knowledge of Ghana and the clients of SNIT and will find it difficult managing the loans. Plus, SNIT would have received less cash from the acquisition as it would then have received cash less deductions for its loans. But SNIT needs the cash to lend to other businesses.
Without lending, no business will prosper in Ghana. Do not be fooled, there is no serious business in Ghana that has not used borrowed money. Name it, Hotel de Wawa, Eddie Annan, Dr Sam Jonah and even the government of Ghana. Leveraging is necessary for businesses to strive and economies to grow.
Show me a business which has not borrowed and I will show you a corrupt business and one that deals in narcotics.
