Mr Gyasi is a respected businessman in Ghana and I don't understand why he's insisting on hanging around his neck with this conflict of interest issue. The MD's issue he raised is tantamount to corruption and the MD should resign immediately and bow his head in shame.
Big men in Ghana are always throwing their weights around when it's vividly that they are wrong. This is a poor judgement by the president and Mr Gyasi shouldn't take the position just because he is appointed by the president. The whole thing stinks and Mr Gyasi should reconsider to save his good name. There is no question about his abilities but this appointment is a classic case of a conflict of interest period.

It is not necessary for a successful Businessman like that to breach ethics and take this job. No!He could offer advice free without being Board Chair and collecting sitting allowances of $100,000 per year. No! Let Ghanaian successful businessmen also give to the nation!
The issue with ECG is a matter of discipline to collect their bill payment of government and private corporations who don't pay. Raising tariffs will still not make reliable electricity but to cover for those who do't pay.
Ghana is falling but nobody seems to notice as the insiders share whatever taxes and levies come in the coffers, whiles nurses are not paid for months! What a shame!!

A conflict of interest (COI) occurs when an individual or organization is involved in multiple interests, one of which could possibly corrupt the motivation for an act in another.
Both the MD. And the board chair are in breach. Recusing oneself does not mean one still cannot influence the motivation of others to act in their interest. It is clearly a conflict of interest scenarios for both MD and chair even more so that the two most senior persons are involved.

Moreover does the manufacture of Cables give the man the top skillset in Electrical engineering and Management competence in Ghana to head the ECG that has for over 20 years been unable to meet even a mere 99% delivery reliability!
Ghanaian politics overrides every aspect of our lives due to greed and selfishness. There are Ghanaians overseas with far more experience in helping ECG and our ailing nation but due to politics and greed they will never appoint any; and even if they do it is all politics as usual and special interests, and what the insiders can get out of the relationship.
What a shame our nation has become!

Although Nana Akua is right to raise this issue as a matter of principle, it is important not to confuse a "Declaration of Commercial Interest" with a "Conflict of Interest".
What Oteng Gyasi has done is "Declare" his "Commercial Interest". This is normal practice for all people who serve on key committees and company boards. Such declaration has to be made annually and is noted.
The official declaration is a detailed process involving completing a form with relevant guidance. In completing the form, the individual states categorically that if the situation were to change, they will duly inform e.g. the MD or CEO of the organisation whose board they sit on.
Tony Gyasi's explanation about the actions to take and e.g. recusing himself from ALL deliberations involving any matter relating to his company is also correct according to company law and the ethics of Conflict of Interest. In this sense, one can say that Tony Gyasi is right and has said the right things.
It is important to recognise that the potential conflict of interest arises where issues and decisions have to be taken in respect of an entity e.g. a company for which a member of the board (or several members) have a particular interest or stake and the right thing to do (by law) will be to completely recuse themselves from ALL discussions and meetings involving the issue.
It is also important for the committee or board to recognise their own independence and the ethical standards to which they have signed up i.e. that in cases such as we are discussing here, under no circumstances should they (both in spirit and by the letter) be seen to favour a member of their board (including its chairman) whose company is a subject of their deliberations.
So, in theory, Tony Gyasi has done nothing wrong, in fact if anything he has done the right thing by DECLARING HIS INTERESTS. I expect that ALL members of the ECG board (and I expect ALL boards up and down the country) are expected to, and should have done the same.
The key point that Akua makes is more about the "spirit" rather than the letter of the law and ETHICS. Other individuals in recognition of the POTENTIAL for a conflict of interest or the issues of PERCEPTION of such, would have turned down the opportunity to serve on the ECG board if they were in Tony Gyasi's shoes.
He has chosen to accept the role of chairman, but made it clear he recognises the issues of potential conflict and has taken the necessary steps (for which he has signed the document) to AVOID such conflicts by recusing himself when the situation arises.
All that we can do is trust that hew (Gyasi) will respect the rules, and that he fellow board members will also obey the rules.
Issues of good governance come from people understanding the RULES and operating WITHIN such rules at all times, and upholding ethics in public office. The issues of corruption arises where people refuse to play by the rules and / or take advantage of their privileged positions to PROFIT.
At least we know Tony Gyasi knows the rules and has said he will abide by them. Akua, why not let's keep this matter open and scrutinise how the ECG board performs in respect of contracts and decisions that affect Tony Gyasi (or his company).
Let us put it on record since he has come out and contacted you to help him get this message across. That in the near future, if we discover that he (or anyone else) has broken the rules, then WE SHALL TAKE HIM TO ACCOUNT, REMIND HIM OF THIS COMMUNICATION AND FORCE HIM TO RESIGN IF HE REFUSES TO DO SO HIMSELF.
Therefore let's give him the benefit of the doubt and watch the space.

Tony, there is no amount of explanation that would put this matter to rest except to do the honorable thing, RESIGN. this is conflict of interest to the highest degree, pure and simple. This type of grandstanding was seen during the constitution of the just ended SC panel of judges who presided over the election petition where justice Atuguba who clearly was in conflict of interest for having his cousin working with the president who happened to be the key person in that trial. I once respected Tony, and i still do, as one of the indigenous successful entrepreneurs who could have an admirable and unblemished integrity, but i have begun to be drifting away from this view held by me for sometime now.
