ORC strikes off more than 600 companies from the Companies Register

The Office of the Registrar of Companies (ORC) has announced its decision to strike off approximately 620 companies from the Companies Register in Ghana.

This action is part of the ORC's efforts to maintain regulatory compliance and ensure integrity in the country's business environment.

In a statement released on September 2, 2024, the ORC stated that these companies were removed in accordance with the Companies Act, 2019 (Act 992), specifically under provisions related to cessation of business, dissolution without full winding up, and private liquidation.

The ORC explained that this decision was made following an ultimatum issued to companies in default, requiring them to file their Annual Returns and Financial Statements.

Subsequently, the ORC received requests from company officials and shareholders to voluntarily dissolve their companies after the ultimatum given on June 30, 2024.

Meanwhile the Office has identified some 457 companies for dissolution and strike off as a result of non-compliance with the filing requirements.

Furthermore, the ORC has initiated the dissolution process for these companies and is urging the general public and creditors to provide any relevant information.

The ORC also intends to strike off an additional 8,895 companies currently in default by September 30, 2024, if they do not comply with the filing requirements, leading to their dissolution and removal from the register after the validation process is completed.

However, companies that meet the set requirements before the September 30, 2024 deadline will not face removal or dissolution.
