RNAQ's ex-wife Joana listed as shareholder and director of Bills Micro Credit - Report

Joana Quaye, the ex-wife of Ghanaian business mogul Richard Nii Armah Quaye (RNAQ), is listed as both a director and shareholder of Bills Micro Credit Ltd, according to company registration documents cited in a report by The Law Platform.

The report indicates that official company records obtained by The Law Platform identify Joana as one of the directors and shareholders of Bills Micro Credit Ltd, a development that comes amid an ongoing legal dispute over the ownership and management of the company.

According to The Law Platform, the disclosure follows a fresh writ filed by Joana at the Commercial Division of the High Court, in which she is seeking several reliefs, including the nullification of meetings held by the Board of Directors of Bills Micro Credit Ltd.

In her court filing, Joana contends that several board meetings were conducted without her knowledge or participation.

She argues that she was neither notified of the meetings nor given the opportunity to attend, despite being a director of the company.

The company registration documents cited by The Law Platform also list Richard Nii Armah Quaye as both a director and the company secretary.

The records, prepared in accordance with the Companies Act, indicate that the two were part of the company’s registered leadership structure.

Joana’s lawsuit, filed through her lawyers, Messrs Dame & Partners, further alleges that her shares and ownership interest in Bills Micro Credit Ltd were unlawfully transferred without her knowledge or consent.

In the writ, she is asking the court to reverse what she describes as fraudulent transfers of her shares and stake in the company, which she claims to have held since the business was established about 15 years ago.

As part of her case, she has outlined what she describes as particulars of fraud relating to the alleged transfer of her shares without authorisation.

Court documents referenced by The Law Platform indicate that the suit, filed on June 10, 2026, names Kobina Awuah as the second defendant.

Joana alleges that Kobina Awuah became the beneficiary of what she describes as the unlawful transfer of her shares and directorship in the company.

The Office of the Registrar of Companies has also been named as the fourth defendant in the suit.

Joana is seeking orders directing the Registrar to remove from its records any registration recognising Kobina Awuah as a shareholder if the alleged transfer was effected without her consent.

She is also asking the court to direct the Registrar to remove any entries relating to changes in the company’s directorship that were not made through the legally required processes.

According to her claim, any appointment of directors should have been approved at a general meeting of Bills Micro Credit Ltd, a process she argues should have involved her as a director and shareholder.
